What this covers
These terms apply when DirectLine AI runs advertising or an AI phone agent for your business. DirectLine AI is a sole proprietorship operated by Vladimir Kirillychyev in the State of New York, and that is the party you contract with. Booking a call does not create an agreement. Work starts when you accept a written scope and price from us, and these terms apply to that work from then on.
What we do
We build and manage Meta advertising campaigns for your studio, and we set up and maintain an AI phone agent that calls the leads those campaigns produce. The specifics of each engagement are in your scope, and the scope wins if anything here conflicts with it.
Ad spend is separate
Our fee covers management and the agent. It does not include what you pay Meta. Ad spend is billed by Meta directly to your own card on your own ad account. We never hold your ad budget.
Billing and cancellation
The fee is monthly and charged in advance. There is no minimum term. Tell us to stop and the next month does not bill. We do not refund a month that has already started. If a payment fails we will pause the work and tell you before anything is cancelled.
What you own
You own your ad account, your leads, your customer data, and your booking calendar. The Retell account behind the AI caller is opened in your name and billed to your card, and it stays with you if we stop working together, along with the phone number, the prompt, and every past call.
We keep ownership of our own templates, prompts, internal tools and processes. Nothing here transfers those to you, and nothing stops us working with other studios.
What you are responsible for
Giving us the access we need, responding when a campaign needs a decision, and making sure what you sell is legal and accurately described. You are responsible for honouring offers your ads make and for staffing the appointments the agent books. Calls placed on your behalf are made under your business name, and you are the party responsible for them under telemarketing law.
Calls and consent
The agent only calls people who submitted their number through your own form, which is what gives us permission to call them. It identifies itself as an assistant when a person asks whether they are speaking with a human, and it honours a request to stop calling. Calls are recorded and transcribed, and the agent says so at the start of the call, before the conversation goes any further, so a person who does not want to be recorded can hang up. You must not ask us to call purchased, scraped, or otherwise unsolicited lists, and we will stop work if you do.
Text messages
By giving us your number you agree to receive calls and texts from DirectLine AI about your demo and about the call you book with us. These are messages about that: a confirmation, a reminder before the call, and a message if we could not reach you. We do not send marketing campaigns to numbers collected here.
You must be 18 years or older to participate in our SMS program.
Message frequency varies and depends on what you do. Booking a call produces more messages than not booking one. Message and data rates may apply, and those are between you and your mobile carrier. Carriers are not liable for delayed or undelivered messages.
Our SMS program works with all major U.S. wireless carriers, including AT&T, T-Mobile, Verizon, and most regional carriers.
Reply STOP to any message to opt out and we will stop texting that number. Upon sending STOP, we will confirm your unsubscribe status via SMS. Reply HELP for help, or email help@directlineai.com. Opting out of texts does not cancel a call you have already booked.

What we do not promise
We do not guarantee a number of leads, a cost per lead, a booking rate, or revenue. Any figures on our website or in a proposal are estimates based on industry averages and past work, not predictions about your business. Advertising results depend on your offer, your market, your pricing and your follow through, and on platforms whose rules and costs we do not control.
The service is provided as is. We depend on Meta, Retell, LeadConnector and the phone network, and we are not liable for their outages, policy changes, or account decisions, including if Meta restricts or bans your ad account.
Limit of liability
Our total liability for any claim connected to this work is capped at the fees you paid us in the three months before the claim. Neither of us is liable to the other for indirect or consequential losses, including lost profits or lost business. Nothing here limits liability that cannot be limited by law.
Indemnity
The agent calls people who gave their number to you, on campaigns you approved and using claims you supplied. If a third party brings a claim against us arising from a number you gave us, a list you asked us to call, an offer you asked us to advertise, or something you told us to say on a call, you cover our costs in defending it, including reasonable legal fees. We will tell you about any such claim promptly and you may take over the defence. This does not apply where the claim is caused by our own negligence or by our failure to follow the scope you agreed.
Confidentiality
Each of us will keep the other side’s non public information private and use it only to do this work. We will not publish your results or name you as a client without your written permission.
Changes to these terms
We may update these terms. If a change materially affects an active engagement we will tell you by email before it takes effect, and you can cancel if you do not accept it.
Governing law
These terms are governed by the laws of the State of New York, and any dispute will be handled in the courts there.
